Introduction

Welcome to Spheyas! We’re excited to have you here but before you start using Spheyas, we need you to read and accept these terms. We’ve tried to make them clear and free of unnecessary jargon.

These terms outline what we expect from you and what you can expect from us. If you still have questions, please contact us at support@hiranyavarna.com.

Joining and Using Spheyas

This section explains how to create an account, your role, what happens when you invite others, and the responsibilities of subscribers and invited users.

• You and Spheyas: "You" refers to the user or the entity you represent. "Spheyas", "we", "us", and "our" refer to Hiranyavarna.
• Our services: These include all current and future online and mobile accounting products we offer.
• Creating a subscription: You become a subscriber once you create an account and accept these terms. You are responsible for billing.
• Subscriptions are per organization: Each organization you create in Spheyas carries its own plan and its own subscription fee. Creating a second organization does not extend the plan you pay for on the first one — every organization starts on the Free plan until you choose otherwise.
• Invited users: These users must also accept the terms. Subscribers are responsible for their activities and access.
• Roles and permissions: Subscribers manage permissions and user roles.
• Users and clients are never metered: Every plan, including Free, allows unlimited users and unlimited clients. We do not charge per seat.

Plans and Pricing

Our plans, their prices, and what each one includes are set out on our pricing page. The pricing page forms part of these terms. All amounts are in US dollars and are charged per organization. Depending on where you are based, fees may be inclusive or exclusive of transactional taxes such as VAT or GST.

• The Free plan. The Free plan is free indefinitely and is limited to a set number of finalized documents each calendar month, as stated on the pricing page. Drafts do not count toward that limit. If you reach the limit, nothing you have already created is removed, hidden, or degraded — you simply cannot finalize new documents until the month turns over or you upgrade.
• Paid plans. Paid plans are charged in advance, either monthly or annually, and renew automatically for further periods of the same length until you cancel.
• Annual plans. If you choose annual billing, you pay for twelve months up front at the discounted annual rate shown on the pricing page. Annual plans renew annually.
• Features may change. We may introduce, modify, or discontinue features. Where we discontinue a feature that is material to your plan, we will tell you in advance.

Early Access and When Billing Begins

Spheyas is currently in early access. Billing has not started, and every plan is free to use today. The prices published on our pricing page are what you will pay once billing does begin.

• We will give you at least 30 days’ notice by email before we charge you for the first time, and we will never charge you without you first choosing a paid plan and entering payment details.
• If you do not want to continue on a paid plan when billing begins, you can stay on the Free plan or stop using the services. You will not be charged for the early access period, whatever you decide.
• Some features listed on the pricing page are still being built and are marked as such. They will be delivered during early access, before any plan is charged for.

Changes to Prices

We may change our prices, but not by surprise.

• We will give you at least 30 days’ notice by email before a price change takes effect for you.
• A price change never applies to a term you have already paid for. If you are on an annual plan, a price change takes effect at your next renewal, not during your current year.
• If you don’t accept a new price, you can cancel before it takes effect and you will not be charged the new amount.

Failure to Pay

If a payment fails, we will let you know and give you a reasonable opportunity to fix it. If the subscription fee remains unpaid, we may downgrade the organization to the Free plan or suspend access to it until payment is made. We will not delete your data because of a missed payment.

Data Use and Privacy

Your privacy matters. We explain how we use and protect your data in our privacy notice. By using our services, you agree to that notice.

• We do not claim ownership over your data. You grant us a license to use it only to provide and improve services.
• Data you enter about other people. When you enter personal data about your own customers, suppliers, or staff into Spheyas, you remain responsible for that data and for having a lawful basis to hold it. We process it on your behalf and only to provide the services to you.
• We may use anonymised, aggregated data for analytics. This data is not personally identifiable.
• We comply with GDPR and CCPA. You can request access to or deletion of your personal data.

Third-Party Services and Payment Processors

Spheyas may use third-party services, such as PayPal or Stripe, for payment processing. Their terms and privacy policies apply as well. We are not liable for issues arising from their use.

Security

We take your data security seriously. Although we use industry best practices, no method is completely secure. Use strong passwords and enable two-factor authentication.

Confidentiality

We both agree to protect each other’s confidential information. We won’t disclose it unless required by law.

Modifications and Availability

We strive for 24/7 availability but maintenance or updates may cause downtime. We’ll notify you if possible.

Cancellation and Termination

You can cancel at any time, from inside Spheyas. No notice period, no phone call, no email required.

• What cancelling does. Your plan stays active until the end of the period you have already paid for, and then simply does not renew. You are not charged again.
• Monthly plans. Cancel whenever you like. You keep the paid features until the end of the current month, and you are not billed for the next one.
• Annual plans. Because an annual plan is paid twelve months in advance, cancelling part way through the year stops the renewal but does not refund the remainder of the year, except under the money-back guarantee below.
• After cancelling. The organization returns to the Free plan. Your data is not deleted — you keep access to everything you have created, subject to the Free plan’s limits on finalizing new documents.

30-Day Money-Back Guarantee

If Spheyas isn’t right for you, tell us within 30 days of your first payment and we will refund it in full. You do not have to give us a reason.

• The guarantee applies to the first payment you make on a paid plan for an organization, whether that payment was monthly or annual, and runs for 30 days from the day we charge it.
• We refund the full amount to the payment method you used. We may ask why you’re leaving, because it helps us improve, but your answer is never a condition of the refund.
• The guarantee covers the first payment specifically, not every subsequent renewal. Renewals are not refundable — but you can cancel at any time, and once you cancel you are never billed again.
• Outside the guarantee, we will still refund you on a pro-rata basis if we terminate your subscription without cause or discontinue the services.

We may terminate or suspend your subscription immediately if you breach these terms and either cannot remedy the breach or do not remedy it within 14 days of us telling you about it, or if your business becomes insolvent. Otherwise, we will give you at least 30 days’ notice before terminating your subscription, and refund any fees you have paid for a period you will no longer receive.

If you want your data deleted entirely rather than kept on the Free plan, ask us and we will delete it.

Limitations of Liability

We provide services "as is" without warranties. We’re not responsible for indirect losses or damages. Our total liability is limited to fees paid in the last 12 months.

Spheyas is accounting software, not an accountant. We are not a professional services firm and nothing in the services is tax, legal, or accounting advice. You are responsible for the accuracy of what you enter and for your own legal, tax, and compliance obligations.

Dispute Resolution

If a dispute arises, we encourage resolution through our support team first. If unresolved, arbitration or small claims court will be used instead of general courts. Any dispute must be brought in your individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

Governing Law and Venue

These terms are governed by the laws of India, and you and we submit to the exclusive jurisdiction of the courts of Nashik, Maharashtra, India for any dispute that is not resolved by arbitration or in a small claims court.

If you are a consumer resident in a country whose law gives you rights that cannot be contracted out of, those rights still apply and nothing in these terms removes them.

Changes to These Terms

We may update these terms. Changes are never applied retrospectively. We will give you at least 30 days’ notice by email or through the services before a material change takes effect. If you find a change unacceptable, you may cancel before it takes effect.
